上海2018年10月9日電 /美通社/ -- 凱悅酒店集團(tuán) (紐約證券交易所代碼:H) 今日宣布,已達(dá)成協(xié)議收購 Two Roads Hospitality。Two Roads Hospitality 是一家業(yè)務(wù)遍布全球的生活方式酒店管理集團(tuán),在全球擁有一系列獨(dú)具特色的品牌、物業(yè)以及不斷發(fā)展的酒店項(xiàng)目。
通過此次收購,凱悅將納入Two Roads 及旗下著名的生活方式酒店品牌,以及8個國家85個物業(yè)當(dāng)中大部分的管理合同。這意味著凱悅的品牌版圖將擴(kuò)展至23個全新市場,同時將提供更為豐富的生活方式和健康休閑體驗(yàn)。借助Two Roads及其旗下一系列充滿個性的生活方式酒店、度假村和度假公寓,凱悅將擁有陣容更強(qiáng)大、實(shí)力更雄厚的品牌組合,提供業(yè)內(nèi)更優(yōu)良的設(shè)施和服務(wù),帶給客人和凱悅忠誠旅客計(jì)劃“凱悅天地”的會員更具吸引力的體驗(yàn)和禮遇。本次收購還將進(jìn)一步深化與酒店業(yè)主之間的關(guān)系,為股東帶來回報(bào)。

此次收購包括4億8千萬美元的基礎(chǔ)交易價(jià)格,以及凱悅可能將在交易完成后需就個別界定的某些條款而額外投資1億2千萬美元。根據(jù)此次收購價(jià)格及額外投資費(fèi)用預(yù)測,稅息折舊及攤銷前利潤(EBITDA)約為2021年預(yù)期利潤總額的12至13倍。凱悅認(rèn)為,從預(yù)期的收購協(xié)同效應(yīng)和業(yè)務(wù)增長來看,這是較佳估值指標(biāo)。
